Norma Wealth LLC — NormaQI Platform Agreement

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” “your”) and Norma Wealth LLC, a Delaware limited liability company (“Company,” “we,” “us,” “our”), governing your access to and use of the NormaQI platform, including all data, analytics, reports, APIs, and related services available at normaqi.com(collectively, the “Service”).

By creating an account, accessing the Service, or clicking “I Accept,” you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have the authority to bind that entity.

1. Definitions

Platform DataAll data accessible through the Service, including but not limited to: company financials, stock prices, market indices, macroeconomic indicators, country insights, real estate asset data, SEC and regulatory filings, news articles, exchange rates, fund data, and any derived analytics or aggregations.
AI-Generated ContentReports, analyses, summaries, investment memos, and other textual outputs generated by the Service using artificial intelligence models, including but not limited to company research reports, sector analyses, country outlooks, and valuation reports.
User DataInformation you provide to or generate within the Service, including watchlists, saved searches, notes, custom reports, and account information.
Third-Party DataData sourced from external providers including but not limited to Yahoo Finance, Finnhub, FRED (Federal Reserve Economic Data), World Bank, IMF, SEC EDGAR, Google News, MarketAux, CoinGecko, and OpenStreetMap.
Proprietary DataData compiled, aggregated, cleaned, enriched, or derived by Norma Wealth LLC through its own collection, scraping, processing, and analytical methodologies.
Authorized UserAn individual granted access to the Service under a valid subscription, whether through direct registration or organizational invitation.
Subscription TierThe level of access granted to the User (Analyst, Professional, or Institutional), each with specific feature limits and data access rights as described in the applicable pricing documentation.

2. Acceptance & Eligibility

2.1. You must be at least 18 years of age and have the legal capacity to enter into these Terms.

2.2. If you are using the Service on behalf of a company, fund, institution, or other legal entity, you represent and warrant that you have authority to bind such entity to these Terms.

2.3. You may not use the Service if you are (a) located in a jurisdiction where use of the Service would violate applicable law, or (b) subject to sanctions administered by OFAC, the EU, or the United Nations.

2.4. We reserve the right to refuse access to any person or entity at our sole discretion, without obligation to provide a reason.

3. License Grant & Restrictions

3.1. License Grant. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.

3.2. Scope of Use. The license permits you to:

  • View, analyze, and interact with Platform Data through the Service interface
  • Generate AI-Generated Content for your internal use
  • Export data and reports in formats provided by the Service, subject to the redistribution restrictions in Section 6
  • Access the API within the rate limits of your Subscription Tier (Institutional only)

3.3. Restrictions. You may NOT:

  • Copy, reproduce, redistribute, republish, or retransmit Platform Data to any third party, whether for commercial or non-commercial purposes, without our prior written consent
  • Scrape, crawl, or use automated means to extract data from the Service beyond authorized API access
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or data models of the Service
  • Create derivative databases, datasets, or competing products using Platform Data
  • Remove, alter, or obscure any proprietary notices, watermarks, or attribution on Platform Data or AI-Generated Content
  • Share login credentials or allow unauthorized individuals to access your account
  • Use the Service for any unlawful purpose, including market manipulation, insider trading, or fraud
  • Sublicense, sell, resell, or transfer your access rights to any third party
  • Use the Service to build or train machine learning models, AI systems, or automated trading systems without a separate written agreement

4. Data Ownership & Intellectual Property

4.1. Our IP. The Service, including all software, algorithms, data models, user interfaces, branding, and Proprietary Data, is owned by Norma Wealth LLC and protected by intellectual property laws. These Terms do not transfer any ownership rights to you.

4.2. Third-Party Data. Data sourced from third-party providers remains the property of those providers and is subject to their respective terms and licenses. Your use of such data through the Service does not grant you any direct license from those providers.

4.3. User Data. You retain ownership of your User Data. You grant us a limited license to use your User Data solely to provide and improve the Service. We may use anonymized, aggregated usage data for analytics and product development.

4.4. AI-Generated Content. Reports and analyses generated by the Service are derivative works based on Platform Data and AI processing. You receive a license to use AI-Generated Content for internal purposes. You may share individual reports with clients or stakeholders, provided you maintain NormaQI attribution and do not extract or redistribute the underlying data.

4.5. Feedback. Any suggestions, ideas, or feedback you provide about the Service may be used by us without obligation to you.

5. Permitted Data Usage

5.1. Internal Analysis. You may use Platform Data for internal research, analysis, investment decision-making, and portfolio monitoring within your organization.

5.2. Client Reports. Professional and Institutional tier users may incorporate Platform Data into reports prepared for their clients, provided that: (a) NormaQI is cited as a data source, (b) the data is presented as part of a value-added analysis and not as a raw data feed, and (c) the recipient does not gain independent access to the underlying data.

5.3. Academic and Research Use. Platform Data may be referenced in academic publications and research papers with proper citation to NormaQI as the source.

5.4. Regulatory Filings. You may include Platform Data in regulatory filings, compliance reports, and internal audit documentation as required by applicable law.

6. Data Redistribution Restrictions

This section is critical. Violation of data redistribution restrictions may result in immediate termination and legal action.

6.1. No Redistribution. You may not redistribute, resell, sublicense, syndicate, or make available Platform Data to any third party through any medium, including but not limited to: data feeds, APIs, databases, downloads, email distribution lists, websites, applications, or printed publications.

6.2. No Derivative Databases. You may not use Platform Data to create, supplement, or validate any database, data product, or dataset that is made available to third parties, whether for free or for compensation.

6.3. No Systematic Download. Systematically downloading, storing, or caching substantial portions of Platform Data outside the Service is prohibited. This includes bulk exports intended to replicate the Service's data coverage.

6.4. Display Restrictions. You may not display Platform Data on any publicly accessible website, application, or terminal without a separate display license agreement.

6.5. Republishing License. Organizations wishing to redistribute, display, or integrate Platform Data into their own products or services must enter into a separate Republishing License Agreement with Norma Wealth LLC. Contact [email protected] for inquiries.

6.6. Monitoring. We reserve the right to monitor usage patterns to detect potential redistribution. Anomalous access patterns, excessive API calls, or bulk data extraction may result in account suspension pending investigation.

7. Third-Party Data Sources

7.1. The Service aggregates data from multiple third-party sources. Each source has its own terms of service, accuracy standards, and update frequencies. We pass through data “as is” from these sources.

7.3. We do not guarantee the accuracy, completeness, or timeliness of third-party data. Market data may be delayed by 15 minutes or more. Macroeconomic data may lag by one or more reporting periods.

7.4. The availability of third-party data may change without notice if a provider modifies its terms, API access, or data feeds.

8. AI-Generated Content & Reports

8.1. The Service uses artificial intelligence models (including models provided by Anthropic and other providers) to generate research reports, analyses, and summaries.

8.2. No Guarantee of Accuracy. AI-Generated Content may contain errors, hallucinations, outdated information, or misinterpretations. You must independently verify all material facts before relying on them for investment or business decisions.

8.3. Citation System. The Service employs a citation and provenance system that tracks data sources used in AI-Generated Content. Citations indicate the data source, not an endorsement of accuracy. Uncited claims should be treated as unverified.

8.4. Not a Substitute for Professional Advice. AI-Generated Content does not constitute financial advice, investment recommendations, legal advice, tax advice, or any form of professional counsel. Always consult qualified professionals before making decisions based on platform outputs.

8.5. Attribution. When sharing AI-Generated reports externally, you must retain the “Generated by NormaQI” attribution and source citations. Removing attribution or presenting AI-Generated Content as your own original research is prohibited.

8.6. Learning & Improvement Data. The Service records interactions with AI-Generated Content — including generations, edits, revision instructions, and exports — to power your organization's private “Firm Playbook” (report templates, style preferences, and standing rules that improve your own future outputs). This organization-level learning data is sealed within your tenant: it is never shared with, visible to, or used on behalf of any other customer.

8.7. Consent Tiers. Your organization controls how its interaction data may additionally be used, via an AI-learning consent setting: (a) Private — data improves only your organization's playbook; (b) Improve Defaults — de-identified structural patterns (never deal-specific content, names, or figures) may inform improvements to the Service's default templates; (c) Full Training — de-identified content may be used to train future NormaQI models. The applicable tier is recorded with each interaction at the time it occurs; changing tiers is not retroactive. New organizations default to Improve Defaults and may change tier at any time in Settings.

8.8. Export & Deletion. Organization owners may request an export of their playbook and learning data, or its deletion, by contacting [email protected]. Deletion removes the data from active systems within 30 days, subject to legal retention requirements.

9. Accounts & Access

9.1. You are responsible for maintaining the confidentiality of your login credentials. You are liable for all activity under your account.

9.2. Each account is for a single Authorized User. Sharing credentials is prohibited.

9.3. We may suspend or terminate accounts that show signs of credential sharing, unauthorized access, or suspicious activity.

9.4. You must notify us immediately at [email protected] if you believe your account has been compromised.

9.5. We reserve the right to implement multi-factor authentication, IP-based access controls, or session limits at any time.

10. Subscriptions & Payment

10.1. The Service is offered under subscription tiers (Analyst, Professional, Institutional) as described on the pricing page. Free trial access may be offered at our discretion.

10.2. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law.

10.3. We may modify pricing with 30 days' written notice. Price changes take effect at the next billing cycle.

10.4. Failure to pay fees when due may result in suspension or downgrade of access.

10.5. Enterprise and custom pricing arrangements are governed by separate order forms that supplement these Terms.

11. API Access & Rate Limits

11.1. API access is available only to Institutional tier subscribers, subject to rate limits of 25,000 calls per month unless otherwise agreed in writing.

11.2. API keys are confidential and must not be shared, published, or embedded in client-side code.

11.3. You may not use the API to build a competing product or service, or to systematically replicate the Service's data coverage.

11.4. We may throttle, suspend, or revoke API access for usage that exceeds rate limits, degrades service performance, or violates these Terms.

11.5. API responses may be cached locally for up to 24 hours. Longer caching periods require written approval.

12. Privacy & Data Protection

12.1. We collect and process personal data as described in our Privacy Policy. By using the Service, you consent to such collection and processing.

12.2. We implement industry-standard security measures including encryption at rest and in transit, secure authentication, and access controls.

12.3. We do not sell your personal data to third parties.

12.4. For users subject to GDPR, CCPA, or other data protection regulations, we provide data access, correction, and deletion rights upon request to [email protected].

12.5. We may use anonymized, aggregated usage data (such as feature adoption, query patterns, and report generation statistics) to improve the Service. Such data cannot be used to identify individual users.

13. Trading & Investment Disclaimer

NormaQI is not a broker-dealer, investment adviser, or registered investment advisor (RIA). No fiduciary relationship is created by use of this platform. All data and analytical outputs are provided for informational and educational purposes only and do not constitute investment advice or recommendations.

Trading and investing involves substantial risk of loss. Past performance does not guarantee future results. You are solely responsible for your own investment decisions. We strongly recommend consulting a licensed financial advisor before making investment decisions.

13.1. Statistical models, probability estimates, and risk metrics are mathematical computations derived from historical data. Real markets exhibit characteristics (fat tails, regime changes, gaps, halts) that these models may not capture.

13.2. Company valuations, price targets, and financial projections presented in AI-Generated Content are illustrative estimates, not predictions.

13.3. Market data displayed on the platform may be delayed. Do not rely on the Service for time-sensitive trading decisions.

13.4. No Liability for Investment Losses. Norma Wealth LLC, its founders, officers, directors, employees, contractors, and affiliates accept no responsibility or liability whatsoever for any financial losses, damages, or adverse consequences arising from investment decisions, trades, asset purchases, or any other financial actions taken in reliance on data, analytics, reports, or AI-Generated Content obtained from the Service. You acknowledge that all investment decisions are made entirely at your own risk and discretion, and that the Service provides informational tools only — not investment advice, recommendations, or endorsements of any security, asset, market, or strategy.

13.5. Assumption of Risk. By using the Service, you expressly acknowledge and accept that: (a) financial markets are inherently unpredictable and involve substantial risk of loss, including the potential loss of your entire invested capital; (b) historical data, statistical models, and AI-generated analyses do not predict future performance; (c) data on the platform may be incomplete, delayed, or contain errors; and (d) you bear sole and exclusive responsibility for evaluating the merits and risks of any investment decision. You waive any and all claims against Norma Wealth LLC related to investment outcomes.

14. Limitation of Liability

14.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14.2. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL BE ACCURATE OR COMPLETE.

14.3. WITHOUT LIMITING THE FOREGOING, NORMA WEALTH LLC SHALL HAVE NO LIABILITY FOR ANY LOSSES ARISING FROM INVESTMENT DECISIONS, TRADING ACTIVITY, ASSET ACQUISITIONS, OR PORTFOLIO ALLOCATIONS MADE IN RELIANCE ON PLATFORM DATA, AI-GENERATED REPORTS, OR ANY OTHER OUTPUT OF THE SERVICE. THIS EXCLUSION APPLIES WHETHER THE DATA WAS ACCURATE OR INACCURATE, TIMELY OR DELAYED, COMPLETE OR INCOMPLETE.

14.4. IN NO EVENT SHALL NORMA WEALTH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

14.5. OUR MAXIMUM AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14.6. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

15. Indemnification

15.1. You agree to indemnify, defend, and hold harmless Norma Wealth LLC, its officers, directors, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service or reliance on Platform Data
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any investment or trading decisions made using the Service
  • Any unauthorized redistribution of Platform Data
  • Any claim by a third party related to your use of AI-Generated Content

16. Termination

16.1. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

16.2. We may suspend or terminate your access immediately if you violate these Terms, particularly the data redistribution restrictions in Section 6.

16.3. Upon termination: (a) your license to use the Service ceases immediately, (b) you must destroy all copies of Platform Data in your possession, (c) you must cease using any AI-Generated Content that has not already been shared with clients prior to termination.

16.4. Sections 4 (IP), 6 (Redistribution), 13 (Disclaimer), 14 (Liability), 15 (Indemnification), and 17 (Governing Law) survive termination.

17. Governing Law & Dispute Resolution

17.1. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

17.2. Any dispute arising from these Terms shall first be submitted to good-faith mediation. If mediation fails within 30 days, the dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Wilmington, Delaware.

17.3. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm, including unauthorized data redistribution.

17.4. You waive any right to participate in a class action lawsuit or class-wide arbitration against Norma Wealth LLC.

18. Changes to Terms

18.1. We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect.

18.2. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18.3. If you do not agree to updated Terms, you must discontinue use of the Service before the effective date.
